What we are looking for:
We are looking for a Senior Commercial Counsel to join our rapidly expanding legal department as the first team member located in EMEA.
What you will be doing:
As Senior Commercial Counsel in the Semperis legal department, you will work with the sales, marketing, and channels teams on contract negotiations, commercial transactions, and other projects. You will be integral in scaling out the commercial legal function in EMEA, and will be the primary legal resource for the EMEA go-to-market team.
In this role, you will:
Draft, review and negotiate a broad range of commercial agreements (including NDAs, software-as-a-service, software licensing, professional services, data privacy, channel partner, and vendor).
Lead and collaborate with cross-functional teams to help design, implement, and streamline policies, practices, templates, playbooks, and enablement.
Advise on a variety of legal issues related to go-to-market activities
Provide pragmatic advice to the sales teams and other internal stakeholders on legal and commercial issues, including competitive industry requirements and best practices.
Assist with various projects to achieve and exceed corporate objectives and goals.
Support the continuous improvement of standard forms of agreement and legal processes.
What you will bring to the table:
An excellent negotiator who knows how to (i) manage complex legal negotiations, (ii) facilitate appropriate internal decision-making processes, and (iii) find a mutually agreeable outcome in an efficient but risk-conscious manner.
The ability to succinctly translate legal issues into relevant business risks and provide practical, solutions-oriented advice that appropriately balances legal risks with business needs
An entrepreneurial attitude and ability to work independently in a fast paced, startup environment
An excellent communicator who is comfortable and confident working with any internal stakeholder or customer, including senior management.
A pragmatic and proactive problem solver who possesses strong business acumen, is confident and calm under pressure.
A great multi-tasker who can prioritize and complete actions in a fast-paced environment.
Minimum Requirements:
Recognized law degree and admission in good standing as a solicitor or equivalent legal professional by the relevant regulatory body in Ireland or another EU member state.
Minimum of 5 years experience drafting and negotiating SaaS/ software license agreements
Must have in-house experience at a high-growth technology company
Good understanding of UK & EU privacy laws and data security
Knowledge and hands on experience with vendor and supplier contracts
Outstanding negotiation and drafting skills
Bonus Points for:
Fluency in German or French is an extra plus- Not required!
Experience with contract elements related to DORA, AI, and/or resale price maintenance
